    Terms and Conditions

  • These General Terms and Conditions apply to all offers, order confirmations, deliveries and services of Budnbed Technologies, trading as House of Suvarna, Fanningerstraße 45, 10365 Berlin ("we", "us").

  • 1. Scope

The controller responsible for data processing on this website is: Mandeep Kumar Budnbed Technologies (House of Suvarna is a brand of Budnbed Technologies) Fanningerstraße 45, 10365 Berlin, Germany Email: hello@houseofsuvarna.com

We are not required to appoint a data protection officer. For any privacy question, contact us at the email address above.

    1. Requests, quotes and contract formation

2.1 Product information, prices and specifications on our website are non-binding.

2.2 Requests made through our website, including "Request a quote" and "Name your price", are non-binding invitations. Submitting a request does not create a contract.

2.3 Our quotes are valid for 14 days unless stated otherwise.

2.4 A contract is formed only when we issue a written order confirmation (email is sufficient). The order confirmation defines the scope, specification, price, delivery date and payment terms.

    1. Specifications, tolerances, samples and approvals

3.1 Goods are produced to the specification in the order confirmation and the approved pre-production sample.

3.2 Textiles are natural products. The following tolerances are agreed and do not constitute a defect:

    CHARACTERISTIC

    TOLERANCE

    Weight (GSM)

    ± 5%

    Dimensions

    ± 5%

    Shrinkage after washing (ISO 6330)

Length up to 8% | Width up to 5%

    Colour

Within commercial tolerance of the approved lab dip or sample. Slight shade variation between production lots.

    Quantity

± 3% of the ordered quantity, invoiced as delivered

3.3 Pre-production samples and lab dips are paid by the Customer unless agreed otherwise. Approval must be given in writing. Approved samples and lab dips are the binding quality reference.

3.4 Production starts only after written sample approval. Delays in approval extend the delivery time accordingly.

3.5 We recommend ordering all items of one colour in a single production lot to ensure consistent shade.

    1. Prices, payment and retention of title

4.1 Prices are net in euros, delivered DDP (Incoterms® 2020) to the agreed delivery address in Germany, plus statutory VAT.

4.2 Payment terms (for example deposit, balance before dispatch) are set out in the order confirmation. Accepted methods: SEPA bank transfer, advance payment, and letter of credit for larger programs.

4.3 If the Customer is in default, statutory default interest of 9 percentage points above the base rate (§ 288(2) BGB) and the flat fee of EUR 40 (§ 288(5) BGB) apply.

4.4 We may withhold production or delivery until agreed deposits are received.

4.5 Goods remain our property until full payment of all claims from the business relationship. The Customer may resell goods in the ordinary course of business and hereby assigns to us all claims from such resale, up to the amount of our invoice.

    5. Delivery, lead times and force majeure

5.1 We deliver DDP (Incoterms® 2020) to the delivery address in Germany stated in the order confirmation. We bear freight, export and import clearance, customs duty and import VAT. Unloading at the destination is the Customer's responsibility unless agreed otherwise.

5.2 Risk passes to the Customer when the goods are made available at the delivery address, ready for unloading.

5.3 Lead times are estimates unless expressly agreed as binding. Typical lead time is 10 to 12 weeks after written sample approval and receipt of any agreed deposit.

5.4 Partial deliveries are permitted where reasonable for the Customer.

5.5 We are not liable for delays caused by events beyond our control, including strikes, natural disasters, epidemics, war, port closures, shipping disruption, export or import restrictions and official measures. Delivery times are extended for the duration of the event plus a reasonable start-up period. If the delay exceeds 3 months, either party may withdraw from the affected part of the contract.

    1. Inspection, complaints and warranty

6.1 The Customer must inspect the goods promptly on delivery (§ 377 HGB). Visible defects and quantity differences must be reported in writing within 5 working days of delivery, with photos. Hidden defects must be reported within 5 working days of discovery.

6.2 Goods not complained about in time are deemed approved.

6.3 For justified complaints, we will at our choice repair, replace or credit the affected goods. If this fails, the Customer may reduce the price or withdraw from the contract for the affected goods.

6.4 Deviations within the tolerances in section 3.2, and deviations from the approved sample that do not affect use, are not defects.

6.5 The warranty period is 12 months from delivery, except for claims under section 7.2.

    7. Liability

7.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee.

7.2 For slight negligence, we are liable only for breach of essential contractual obligations (obligations whose fulfilment makes proper performance of the contract possible and on which the Customer may rely). Liability is then limited to the foreseeable damage typical for this type of contract.

7.3 Any further liability is excluded. This also applies to the personal liability of our employees, representatives and agents.

    8. Customer designs, logos and cancellation

8.1 The Customer is responsible for all logos, designs, artwork, label texts and specifications it supplies. It confirms it holds all rights to use them and indemnifies us against third-party claims arising from their use.

8.2 The Customer is responsible for the content of its own brand labels and marketing claims. We provide the fibre composition and care information required under EU law.

8.3 Designs, tech packs and samples we develop remain our property unless agreed otherwise. The Customer's own designs remain the Customer's property.

8.4 Orders are made to order. After the order confirmation, cancellation is only possible with our written consent. The Customer must reimburse all costs already incurred, including materials, dyeing, labels, packaging and production. Once production has started, custom goods cannot be cancelled.

    1. Confidentiality and final provisions

9.1 Both parties keep confidential all non-public business information received from the other, including prices, specifications and designs. Supplier identities are our confidential business information.

9.2 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

9.3 Place of performance and exclusive place of jurisdiction is Berlin, where the Customer is a merchant, a legal entity under public law or a special fund under public law.

9.4 Amendments and additions require text form (email is sufficient).

9.5 If any provision is invalid, the remaining provisions stay effective.
